Job Summary

CBRE is seeking a motivated Legal Counsel - Transaction Management to join a highly acclaimed, nationally recognized tenant representation team. The team's clients span the fields of technology, media, government contracting, cybersecurity, and professional services firms. Diverse clients include Fortune 100 companies, public and private firms, as well as young entrepreneurial companies.

The ideal candidate will creatively navigate lease documents, possess strong negotiation and analytical skills, be intellectually curious, and love multi-tasking. This role will act as a legal liaison for one-off transactions and portfolio clients. It will provide ongoing execution and oversight of real estate transaction documentation activities including reviewing, modifying, and developing all relevant documents. This position offers the unique opportunity to work with a variety of industries with broad exposure to legal counsel, real estate leaders, and C-level executives.

This person will leverage strong interpersonal and communication skills enjoys working as a team and collaborating with colleagues and clients. The role also includes the opportunity to participate in business development with prospective clients.

Essential Duties and Responsibilities

  • Drafts and creates a large variety of analysis and relevant documents including, but not limited to: leases, amendments and subleases using client standard forms.
  • Drafts LOI checklists, indemnity letters, surrender letters, termination agreements, broker engagement letters, MSA contracts and amendments, lease abstracts and lease checklists, purchase and sale agreements using client forms, renewal and termination option notices, bill of sale, commission agreements, guarantees, landlord default letters, license agreements, confidentiality agreements, and SNDAs.
  • Reviews leases, amendments and other transaction documents and prepares red-lined comments for review with Transaction Managers and clients.
  • Creates sample RFPs and letters of intent for client playbooks.
  • Negotiates leases and lease amendments, termination buyout and other transaction documents in conjunction with Transaction Managers and client within prescribed timelines.
  • Submits lease forms and documents to client for approval, following through until executed.
  • Reviews existing client leases and prepares recommendations for improvement and/or non-conformance with client standards.
  • Shares knowledge of leases and other documentation with team members in an effort to refine understanding.
  • Creates case studies to demonstrate savings and value creation.
  • Develops strong working relationships with clients' in-house counsel with particular focus on portfolio clients.
  • Interacts with CBRE in-house counsel on commission agreements, dual agency and other topics as they arise.
  • Monitors and maintains a real estate project tracking system to ensure timely transaction completion. Prepares reports and makes presentations to relevant parties.
  • Adheres to all state real estate agency requirements. Ensures compliance with CBRE's corporate policies as they relate to identifying and mitigating potential conflicts of interest.
  • Other duties may be assigned.

Supervisory Responsibilities

  • No formal supervisory experience in this role. May provide informal guidance to and direction to team members.

Education and Experience

  • Bachelor's degree in business or related field, JD preferred. 5+ years applicable industry tenure or similar combination of education and experience
  • 5 years of real estate transaction experience to include a strong understanding of lease documents and a Juris Doctorate Degree highly preferred.

Certificates and/or Licenses

Real Estate Salesperson license.

Communication Skills

Ability to comprehend, analyze, and interpret the most complex business documents. Ability to respond effectively to the most sensitive issues. Ability to write reports using distinctive style. Ability to make effective and persuasive presentations on complex topics to employees, clients, top management, and/or public groups. Ability to motivate and negotiate effectively with key employees, top management, and client groups to take the desired action.

Ability to solve advanced problems and deal with a variety of options in complex situations. Requires expert-level analytical and quantitative skills with proven experience in developing strategic solutions. Other Skills and Abilities

Advanced computer software application (Microsoft Excel, Word, PowerPoint, Outlook, etc.) and Internet navigational skills. Strong interpersonal and organizational skills with the ability to manage multiple projects simultaneously.

Scope of Responsibility

Decisions made with in-depth understanding and interpretation of procedures, company policies, and business practices to achieve general results. Responsible for setting department deadlines. Errors in judgment may cause a significant impact to clients, co-workers, supervisor, department, and/or lines of business.
