Position Summary:
The Office of the General Counsel at the Human Rights Campaign is responsible for managing all of the corporate legal matters for the organization, including corporate governance, legal compliance, and risk management. We interact with and support every department and program across HRC. We are seeking an experienced paralegal with outstanding research, writing, analytical, and project management skills and an ability to anticipate and respond quickly to organizational needs, to join our team. This position will be responsible for supporting the board governance program, conducting legal research and drafting assignments, as well as contributing to contract and legal document creation, review, updating and management. We are looking for an individual with at least 4 years' experience and an affinity for teamwork and diverse assignments. This is a hybrid role, reporting to HRC's headquarters in Washington, DC.

Position Responsibilities:

  • Assist the General Counsel in Board Relations and governance matters, including, but not limited to:
  • Maintain corporate governance information, including articles of incorporation, bylaws, agendas, minutes and resolutions, conflicts of interest documentation, and board and officer changes.
  • Prepare and circulate minutes, corporate resolutions and other documents for review and approval.
  • Create Board-level presentations and documents as assigned.
  • Perform special projects related to corporate governance.
  • Conduct legal research and draft, process, negotiate, and review legal documents and correspondence.
  • Support implementing changes to contracts and templates based on new procedures or legislation/regulations.
  • Collect, prepare, and review documents responsive to regulatory inquiries, business transactions, litigation, or other requests.
  • Manage projects from inception to conclusion.
  • Work with other members of the Office of the General Counsel on special projects and initiatives.
  • Other duties as assigned.

    Position Qualifications/Minimum Requirements:
  • 4 years of related experience.
  • Demonstrated success as an individual contributor and ability to work well on a team with exceptional judgement, diplomacy and discretion.
  • Commitment to delivering error-free work product, on time and consistent with standard templates and processes.
  • Ability to manage competing deadlines and priorities.
  • Ability to work evening hours when necessary to prepare for Board and Committee meetings.
  • Proficient in Microsoft Office Suite, especially Word, PowerPoint, and Excel; experience with BoardEffect a plus
  • Ability to communicate effectively with stakeholders at all levels of the organization.
  • Ability to establish and maintain strong relationships across all business units.
  • Ability to work in a fast paced, high activity environment.
  • Ability to think creatively to provide ongoing process improvement.
  • Commitment to LGBTQ+ rights is required.
    Position is located in Washington, D.C. All positions at the Human Rights Campaign may require travel on a regular basis or periodically. Where the need arises for business travel, appropriate compensation as outlined by the Fair Labor Standards Act will apply.
