MEI was founded by industry experts with experience deploying over $1B into distributed generation assets totaling more than 300 MW across 20+ state markets. -In less than 3 years, the team at MEI has invested in projects across 18 state markets and has deployed over $500M of capital. This rapid deployment of capital and fast-paced environment calls for a full-time Counsel working on real estate transactions and project development and financing.

The ideal candidate will play a crucial role at MEI coordinating and managing the company's real estate transactions related to the development, financing, construction and operation of C&I and utility-scale renewable energy projects. -The individual will have a key role in acquiring projects, financing projects and obtaining all required title policies and site control documentation and will occupy a multi-faceted role, providing leadership for projects at all phases of the development life cycle. The individual will be detailed oriented and responsible for the management, tracking, and documentation of all real estate items and documents related to MEI's solar projects and financing transactions. This role will work directly with MEI, its partners, developers, outside counsel, lenders, investors, title companies, and regulatory bodies. This role will involve drafting real property related documentation (including leases, easements, licenses, memorandums, amendments, affidavits and other title related documents), managing redlines and keeping track of changes in real property-related documentation, managing the title process with MEI's title specialist and title companies, and providing diligence support for projects during the acquisition-stage and beyond in order to meet debt and tax equity requirements. -Additional support will be provided to maintain project data rooms related to real property for maximum efficiency among various internal teams. -This role will work with finance, asset management and diligence teams, directly manage a land and title specialist and will report to the Office of the General Counsel.

Summary of activities:

--- Prepare real estate contracts required in conjunction with the development, construction, and operation of renewable energy projects, including the drafting and negotiating and reviewing of leases, easements, licenses and other site control documentation and provisions for all projects.

--- Participate in diligence of necessary documentation for acquisition of -new solar projects with a specific focus onsite control documentation, title searches, title commitments and proformas, and ALTA surveys and manage the process for remedying issues with the project seller and supervising title curative work required to obtain title policies in preparation for project financing.

--- Lead real estate efforts related to project finance including responding to real estate due diligence requests from lenders, investors and other financing partners and review title commitments, title proformas, ALTA surveys and supervise title curative work required to obtain title policies in preparation for project financing.

--- Review key real property documentation and fix discrepancies and issues prior to (and post) closing on project acquisition.

--- Draft and negotiate leases, easements, licenses and other site control documentation and provisions for all projects and interact with landowners and landowner attorneys in a manner that projects a positive image of the company.

--- Work directly with, and manage the process with, development partners, title companies, surveyors, opposing counsel and other third-parties involved in the real property and title in order to finalize all real property and title documentation to obtain all relevant title policies and ensure that site control has been properly documented for each project.

--- Ensure compliance and adherence to all third-party financing, surveyor and title company requirements (tax equity and debt) around real property and title documentation for all projects (roof mounts, carports, ground mounts, floating, etc.).

Required Experience and Qualifications:

--- Juris Doctor degree from an ABA accredited law school.
--- 3+ years of experience at a top law firm or in-house at a company, working on real estate transactions in the solar and renewables industry and managing title processes.
--- Strong grasp of real estate contract terms and conditions, and ability to understand and interpret complex legal documents.
--- Familiarity with lease negotiations and experience reviewing vesting deeds, entity documents and trust agreements.
--- Familiarity with tax credit equity and lender expectations related to real estate documents, title policies and ALTA surveys.
--- Excellent leadership, communication, organizational, and negotiation skills
--- Ability to work collaboratively with teammates across functions.
--- Ability to perform with a high degree of flexibility and resourcefulness and work independently.
--- Strong attention to detail, organizational and record keeping skills.
--- Demonstrated knowledge of general business and industry practices, processes and familiarity with federal and local real estate las and practices.
--- Ability to project a positive image of the company and cultivate and maintain positive relationships.
